From an outside exterior appearance, other than standard upgraded wheels included with the 540 and badging there are no differences. They are identical on the inside as well.

The 540 is more expensive not only to purchase, but to operate as well. The 6-cylinder 528 has better gas mileage, and typically costs less to repair, especially in the case of catastrophic engine failure.

If you are buying the BMW as "The Ultimate Driving Machine," the 540 is the better car.

looks= tie. unless you are talking about two different generations of 5 series. in which case whichever one is the E39 wins.
